1. Introduction and Services

These Terms and Conditions ("Terms") govern your use of the NITI Fleet Operations website (www.nitifleetops.com) and our taxi dispatch outsourcing services ("Services").

Who this applies to:

Fleet Operators (taxi companies using our dispatch service)

Website visitors (browsing our site for information)

Our Services include:

24/7 call answering and taxi booking handling

Driver dispatch and coordination

Ride booking management

Customer service and dispute resolution

Fleet performance analytics and reporting

By using our website or Services, you agree to these Terms. If you do not agree, please do not use our site or Services.

2. Eligibility

2.1 Fleet Operators

To use our dispatch Services, you must:

Be a legally registered taxi fleet operator in good standing

Have the legal authority to bind your company to this agreement

Maintain active taxi licenses and insurance for all vehicles/drivers

Be able to provide driver rosters and fleet details upon request

2.2 Website Visitors

Website visitors must be at least 18 years of age or accessing the site on behalf of a business.

3. Service Levels and Pricing

3.1 Service Pricing

Pricing is as advertised on our website or as agreed in your service contract:

Starting at $15/hour for dispatch services

Custom pricing available for high-volume fleets

Volume discounts and tiered plans based on call volume

3.2 Billing and Payment

Billing Cycle: Monthly, based on hours of service or call volume

Payment Terms: Net 15 days from invoice date

Late Payments: 1.5% monthly interest on overdue amounts

Payment Methods: Credit card, bank transfer, or as agreed

3.3 Service Level Agreement (SLA)

Availability: 24/7/365 dispatch coverage

Answer Rate: 95% of calls answered within 3 rings

Dispatch Accuracy: 98% correct driver assignment

SLA Credits: Available for service failures per your contract

4. Fleet Operator Responsibilities

4.1 Information You Must Provide

To enable our Services, you agree to provide:

Driver Roster: Names, phone numbers, vehicle details, service areas

Fleet Rules: Pricing, booking policies, special instructions

Phone Numbers: Numbers we answer on your behalf

Integration Details: API keys or access for real-time coordination

4.2 Driver Management

You are responsible for:

Ensuring all drivers are licensed, insured, and background-checked

Maintaining vehicle safety and compliance

Handling driver discipline and termination

Ensuring drivers follow dispatch instructions

4.3 Service Area and Rules

You must provide clear instructions for:

Service boundaries/geofencing

Pricing structure (metered, flat rate, etc.)

Cancellation policies

Special handling (wheelchair, pets, etc.)

5. Call Handling and Recordings

5.1 Call Recordings

Notice: All calls may be recorded for quality assurance, training, and dispute resolution.

Retention: 90 days, unless needed for disputes.

Access: Recordings available to you upon request for your bookings.

5.2 Call Handling Standards

Our dispatchers will:

Answer professionally within 3 rings

Capture accurate booking details

Dispatch the nearest available driver

Communicate clearly with customers and drivers

Follow your specific fleet policies

6. Customer Data and Privacy

6.1 Data Ownership

End-customer data (passenger names, addresses, booking details) belongs to you (the fleet operator).

We process this data only as your service provider to complete taxi rides.

We do not use customer data for our own marketing or sell it to third parties.

6.2 Data Sharing

We may share booking information with:

Your drivers (pickup details)

End-customers (confirmation SMS)

Payment processors (fares)

Legal authorities (if required)

7. Termination and Cancellation

7.1 Service Termination by Fleet Operator

Monthly contracts: 30 days written notice

Longer contracts: Per your service agreement

Outstanding payments must be settled before final data export

7.2 Termination by NITI

We may terminate or suspend Services if:

You fail to pay invoices

You violate these Terms

Your fleet loses required licenses/insurance

You misuse our Services

7.3 Data After Termination

Upon termination, we will:

Provide final data export (bookings, call logs) within 30 days

Delete your data according to our retention policy

Continue call handling until the end of your notice period

8. Liability and Warranties

8.1 Service Warranties

We warrant that our Services will be provided:

With professional skill and care

In accordance with industry standards

Consistent with the service levels in your contract

8.2 Disclaimers

NITI is not responsible for:

Driver conduct, vehicle safety, or ride quality

End-customer complaints about the ride itself

Traffic delays, accidents, or force majeure events

Third-party payment processor failures

Data loss due to your failure to maintain backups

8.3 Limitation of Liability

To the maximum extent permitted by law:

Our total liability is limited to the amount you paid us in the 12 months before the claim.

We are not liable for indirect, consequential, or punitive damages.

You indemnify us against claims arising from your drivers, vehicles, or fleet operations.

9. Force Majeure

Neither party is liable for delays or failure to perform due to:

Natural disasters, extreme weather

Government actions or restrictions

Internet/telecom outages beyond our control

Labour disputes or civil unrest

10. Intellectual Property

10.1 Our IP

You may not use our trademarks, logos, or proprietary software except as expressly permitted.

10.2 Your Data

You retain ownership of your fleet data. We have a license to use it only to provide Services.

11. Confidentiality

Both parties agree to:

Keep confidential business information private

Use it only for the purpose of this agreement

Not disclose to third parties without consent

12. Governing Law

These Terms are governed by the laws of Alberta, Canada. Disputes will be resolved in Alberta courts.

13. Changes to Terms

We may update these Terms. Changes are effective when posted to our website. Continued use of our Services after changes constitutes acceptance.

14. Entire Agreement

These Terms (and any signed service contract) constitute the entire agreement between us.
